Terms of Service

These Terms of Service govern your use of the Solar1 platform provided by Solar1, Inc. Please read them carefully before using the platform.
1. Acceptance of terms
By creating a Solar1 account or using the Solar1 platform, you agree to these Terms of Service. If you are using Solar1 on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not use Solar1.
2. Description of service
Solar1 is a cloud-based operational platform for solar installation businesses. The platform includes project management, job costing, permitting, invoicing, payroll, CRM, and related operational tools. Solar1 is provided as a subscription service (SaaS). Solar1, Inc. reserves the right to modify, suspend, or discontinue features with reasonable notice to active subscribers.
3. Accounts and access
You are responsible for maintaining the security of your Solar1 account credentials. You may not share credentials between individuals. Each user accessing the platform on behalf of your organization must have a unique login. You are responsible for all activity that occurs under your account. Notify Solar1 immediately at support@solar1erp.com if you suspect unauthorized access to your account.
4. Subscription and billing
Solar1 subscriptions are billed monthly or annually, as selected at sign-up. Monthly subscriptions may be cancelled with 30 days written notice. Annual subscriptions are non-refundable for the current billing period after the 14-day trial period expires. Pricing is set out on the Solar1 pricing page and may be changed with 60 days notice to active subscribers. Overdue balances accrue interest at 1.5% per month. Solar1 may suspend access to the platform for accounts with overdue balances after a 10-day cure period.
5. Your data
You retain ownership of all data you enter into Solar1 — project records, customer data, financial information, and employee data. Solar1 stores this data on your behalf and does not claim ownership of it. You grant Solar1 a limited license to store, process, and transmit your data solely for the purpose of providing the Solar1 platform to you. You are responsible for the accuracy and legality of the data you enter into Solar1.
6. Acceptable use
You may use Solar1 only for lawful purposes and in accordance with these terms. You may not: use Solar1 to store or transmit data that violates applicable law; attempt to gain unauthorized access to Solar1 systems or other users' accounts; use Solar1 to send unsolicited communications; reverse-engineer, decompile, or attempt to extract the source code of the Solar1 platform; resell or sublicense Solar1 access to third parties without written authorization.
7. Third-party integrations
Solar1 integrates with third-party services including QuickBooks, Salesforce, DocuSign, Aurora Solar, and others. Your use of these integrations is subject to the terms and privacy policies of those services. Solar1 is not responsible for the availability, accuracy, or security of third-party services. Data transmitted to third-party services through Solar1 integrations is subject to those services' terms.
8. Service availability
Solar1 targets 99.9% monthly uptime for the core platform. Planned maintenance windows will be communicated at least 48 hours in advance and scheduled outside business hours where possible. Solar1 is not responsible for downtime caused by third-party services, internet disruptions, or circumstances outside our reasonable control.
9. Confidentiality
Solar1 treats your operational and financial data as confidential. Solar1 employees will not access your data except to provide support (with your authorization) or as required by law. You agree to keep any Solar1 proprietary information — including pricing, roadmap details, or non-public platform features — confidential.
10. Intellectual property
The Solar1 platform, including its software, design, trademarks, and documentation, is owned by Solar1, Inc. and protected by applicable intellectual property laws. These terms do not grant you ownership of any Solar1 intellectual property. You may not use Solar1 trademarks or branding without written permission.
11. Limitation of liability
To the maximum extent permitted by law, Solar1's total liability to you for any claims arising from your use of the platform is limited to the subscription fees paid by you in the 12 months preceding the claim. Solar1 is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if Solar1 has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Solar1, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the platform in violation of these terms; your violation of any applicable law; any data you submit to Solar1 that infringes on third-party rights.
13. Termination
Either party may terminate the subscription with notice as described in Section 4. Solar1 may terminate your account immediately if you materially breach these terms and fail to cure the breach within 10 days of written notice. Upon termination, your access to the platform ceases. You may request a data export before your access ends. Solar1 retains your data for 90 days after termination to allow for export requests or reactivation.
14. Governing law and disputes
These terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of Solar1 will be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
15. Changes to terms
Solar1 may modify these terms to reflect changes in the platform, applicable law, or business practices. Material changes will be communicated by email to account owners at least 30 days before they take effect. Continued use of Solar1 after that date constitutes acceptance of the updated terms.
